Send Files That Need an NDA Signed First

Pitch decks, scripts, product designs and unreleased footage often go out with an NDA attached that nobody signs. Here the files stay locked until the recipient confirms their email and signs, and you get a certificate that proves it.

Quick answer: To send files that require an NDA: upload them, open More options, tick "Require an NDA before download", pick a template or paste your own agreement, and share the link. Each recipient confirms their email with a 6-digit code, reads the agreement and signs by typing their name before the download unlocks. Both sides can get a PDF certificate with the agreement text, time, IP address and a verification link. Free, up to 20 GB per transfer.

How it works

  1. Upload your files (up to 20 GB, no account needed).
  2. Open More options and tick Require an NDA before download.
  3. Choose a ready-made template (a standard one-way NDA or a short confidentiality promise) or paste your own text; optionally add a title and your name or company as the disclosing party.
  4. Share the link. Anyone who opens it sees the agreement first; nothing can be downloaded or previewed until they sign.
  5. The recipient confirms their email with a 6-digit code, reads the agreement, ticks that they agree and types their full name.
  6. You see every signature on your Transfers page and can download each certificate as a PDF.

What the signature certificate contains

Each signature produces an audit certificate (PDF) with:

  • the full agreement text and its version fingerprint,
  • the signer's typed name and verified email address,
  • the date and time of signing, IP address and device,
  • the transfer it unlocked, and
  • a certificate ID with a public verification page, so anyone holding the PDF can check it is genuine and unchanged.

The signer can download their own copy after signing, and both of you get the certificate by email, with the PDF attached, as each person signs.

Combine the NDA with other controls

  • View only: recipients can read and watch after signing but not download, with their email watermarked on every page.
  • Download limits: one download per person, or lock the link after a total.
  • Tracking: see who opened, signed and downloaded, and when.
  • Only emails or domains you list: restrict signing to, say, @client.com.

Is a typed-name signature legally valid?

In many countries, including India (Information Technology Act, 2000), the United States (ESIGN Act) and the EU (eIDAS "simple electronic signature"), an agreement accepted by typing your name and clicking is generally enforceable for ordinary contracts such as NDAs, especially with a record of who signed and when. It is not a qualified or Aadhaar-based e-signature. For high-value deals, ask your lawyer which form of signature you need; we do not give legal advice.

Frequently asked questions

Can I use my own NDA text?

Yes. Paste it or load it from a .txt file when you send. You can also use a built-in template: a standard one-way NDA or a short confidentiality promise.

Does the recipient need an account to sign?

No. They confirm their email with a 6-digit code, read the agreement and type their name. It takes under a minute.

Can they see the files before signing?

No. File names, previews and downloads stay hidden until the person has signed.

How do I prove someone signed?

Download the certificate PDF from your Transfers page. It records the agreement text, the signer's name and verified email, time, IP and a verification link.

Is it free?

Yes. NDA links are free for files up to 20 GB per transfer.
